Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the infiSet website, application, accounts, workspaces, client portals, scheduling tools, document features, integrations, AI-assisted features, and related services (collectively, the “Service”).

By creating an account, accepting these Terms, purchasing a subscription, or using the Service after being presented with these Terms, you agree to them. If you do not agree, do not use the Service.

1. The Service

infiSet is a software service intended primarily for business and professional workflows.

Depending on your plan and enabled features, the Service may provide:

  • CRM and contact management;
  • leads and opportunities;
  • project and task management;
  • client workspaces and portals;
  • documents and files;
  • scheduling and meeting workflows;
  • calendar integrations;
  • transactional communications;
  • electronic signatures;
  • AI-assisted features;
  • payment and subscription functionality;
  • automations and workflows;
  • reporting and administrative functionality; and
  • integrations with third-party services.

Features may vary by plan, account, environment, or availability.

2. Eligibility and Authority

You must provide accurate information and use the Service only where you have the legal authority to do so.

If you use the Service for an organization, you represent that you have authority to accept these Terms on its behalf.

3. Accounts

You are responsible for:

  • maintaining accurate account information;
  • keeping authentication credentials secure;
  • controlling access to your account;
  • configuring workspace roles and permissions appropriately;
  • promptly notifying us of suspected unauthorized access; and
  • activity performed through your account to the extent permitted by applicable law.

Do not share administrator credentials or intentionally expose authentication secrets.

4. Workspaces and Administrators

A Customer workspace may have administrators who can invite or remove users, assign roles, configure integrations, manage records, manage billing, and perform other administrative actions.

The Customer is responsible for ensuring that its administrators have appropriate authority.

infiSet is not responsible for an administrator's legitimate actions taken using permissions granted by the Customer.

5. Customer Data

As between the Customer and infiSet, the Customer retains its rights in information submitted, uploaded, synchronized, generated, or otherwise provided by the Customer through the Service (“Customer Data”).

You grant infiSet a limited, non-exclusive right to host, store, transmit, copy, process, transform, display, and otherwise use Customer Data only as reasonably necessary to:

  • provide the Service;
  • perform workflows requested by you;
  • operate integrations;
  • maintain security;
  • provide support;
  • troubleshoot;
  • perform backups and disaster recovery;
  • prevent fraud and abuse;
  • comply with law; and
  • enforce these Terms.

This does not transfer ownership of Customer Data to infiSet.

6. Customer Responsibilities

You are responsible for ensuring that:

  • Customer Data may lawfully be processed;
  • you have provided required privacy notices;
  • required permissions or consents have been obtained;
  • your users are authorized to access the information they receive;
  • your use of the Service complies with applicable law;
  • you have appropriate rights to documents and content you upload;
  • you configure workspace permissions appropriately; and
  • you do not intentionally upload passwords, private keys, payment authentication secrets, or other unnecessary highly sensitive credentials.

7. Privacy

Where applicable, a separate data-processing agreement may govern processing of personal information on behalf of a Customer.

8. Scheduling

infiSet provides its own scheduling interface and may communicate with connected calendar providers to determine availability and create, update, or cancel events.

Scheduling depends partly on information received from third-party calendars.

You understand that third-party calendars may change events, experience conflicts, become unavailable, or provide delayed information.

For important appointments, you remain responsible for confirming the meeting details.

9. Google Integrations

If you connect Google OAuth, Google Calendar, or Google Drive:

  • you authorize the requested access;
  • you remain responsible for the Google account and permissions you grant;
  • Google may impose its own terms and technical limitations;
  • Google may change or discontinue APIs;
  • infiSet may be unable to provide an integration if Google changes or withdraws an API; and
  • you may revoke access through Google or disconnect the integration through infiSet.

Google user-data processing is described in the Privacy Policy.

10. External Storage / BYOS

Where supported, you may connect external storage controlled by you.

The external provider remains responsible for its own service, storage, availability, security, and policies.

Disconnecting an external storage integration may prevent infiSet from accessing content that remains in that external system.

You are responsible for maintaining the rights and permissions necessary to use connected storage.

11. Email

infiSet may use third-party email providers such as Resend for transactional and service communications.

Email delivery depends on external infrastructure, recipient systems, spam filtering, network availability, and other factors outside our control.

We do not guarantee that every email will be delivered immediately or successfully.

12. Payments and Razorpay

Paid features may use Razorpay or another supported payment processor.

When you initiate a payment, you authorize the applicable payment provider to process the transaction according to the payment method and order/subscription selected.

Payment information may be handled directly by the payment provider. infiSet may retain transaction metadata necessary for account management, reconciliation, refunds, support, accounting, and fraud prevention.

Razorpay's own terms and privacy practices apply to its payment-processing services.

13. Subscriptions and Billing

The price, billing period, renewal terms, included features, limits, and applicable taxes are shown at purchase or in the applicable order/subscription terms.

Where a subscription renews automatically, the payment method provided at checkout may be charged at the beginning of each renewal period.

If payment fails, we may retry the payment or restrict or suspend paid functionality after any applicable grace period.

Price changes will be handled prospectively and with any notice required by applicable law or contract.

14. Cancellation and Refunds

Cancellation and refund rights are governed by the applicable purchase terms and any published cancellation/refund policy.

Unless otherwise stated, cancellation prevents future renewal but does not automatically reverse charges already completed.

Nothing in these Terms limits a refund or cancellation right that cannot legally be excluded.

15. Digital Service

infiSet is a digital SaaS service. Ordinary subscriptions do not involve shipment of physical products.

16. AI Features

AI-assisted features may generate drafts, summaries, classifications, extracted information, recommendations, transformations, or other output.

AI output can be inaccurate, incomplete, outdated, or unsuitable for a particular use.

You are responsible for reviewing AI output before relying on it.

Do not rely solely on AI output for decisions involving legal rights, financial decisions, employment, medical care, safety, compliance, security, or other high-impact matters.

The AI providers used by particular features may have their own terms, limitations, and privacy practices.

17. Bring Your Own Key

Where BYOK is supported, you are responsible for having the right to use the credential you provide.

You remain responsible for charges incurred through your provider account.

infiSet may technically limit or reject requests for security, reliability, abuse-prevention, or resource-management reasons.

You must not provide credentials belonging to another person or organization without authorization.

18. Documents

You are responsible for ensuring that documents and files uploaded to infiSet may lawfully be processed and shared.

You must not upload material that you do not have the right to use or process.

19. Electronic Signatures

Where electronic-signature functionality is available:

  • you must provide accurate signer information;
  • you must have authority to request or approve signing;
  • you must not impersonate a signer;
  • you must not intentionally falsify an audit trail;
  • you are responsible for ensuring that the transaction and document are legally appropriate for your use.

Electronic-signature functionality does not guarantee that a particular document or transaction satisfies every legal requirement applicable to your circumstances.

20. Timestamping

Where RFC 3161 timestamping is used, a timestamp provides evidence associated with the time at which the applicable cryptographic artifact was timestamped.

A timestamp does not independently establish signer identity, authority, consent, document meaning, or the complete legal validity of a transaction.

21. Acceptable Use

You must not use the Service to:

  1. violate applicable law;
  2. infringe intellectual-property or privacy rights;
  3. impersonate another person;
  4. commit or facilitate fraud;
  5. distribute malware;
  6. obtain unauthorized access;
  7. bypass authentication or security controls;
  8. attack, probe, or test systems without authorization;
  9. interfere with the Service or other users;
  10. abuse APIs, rate limits, or infrastructure;
  11. send unlawful or abusive communications;
  12. upload credentials or secrets unnecessarily;
  13. use the Service for unlawful surveillance;
  14. circumvent billing or plan limits;
  15. reverse engineer or extract proprietary materials except where legally permitted; or
  16. otherwise misuse the Service.

22. Security

You must not attempt to bypass Cloudflare Access, Turnstile, application authentication, authorization controls, rate limits, or other security mechanisms.

You must protect credentials and promptly report suspected account compromise or security issues.

Security reports may be sent through the security contact provided on the infiSet website.

23. Intellectual Property

infiSet and its licensors retain all rights in the Service, including its software, source code, architecture, interfaces, designs, documentation, branding, trademarks, proprietary workflows, and other materials not owned by Customers.

Except for the limited rights expressly granted by these Terms, no ownership rights are transferred to you.

24. Customer Feedback

If you provide suggestions, ideas, bug reports, or product feedback, you allow infiSet to use that feedback to improve the Service without transferring ownership of your Customer Data or confidential information.

25. Confidentiality

Each party may receive confidential information from the other.

The receiving party will use reasonable care to protect confidential information and use it only for purposes of the relationship, except where disclosure is required by law or the information is already public, independently developed, or lawfully obtained from another source.

26. Third-Party Services

The Service may integrate with or depend upon third-party services, including Cloudflare, Neon, GitHub, Google, Resend, Razorpay, Lark, Sentry, Better Stack, AI providers, electronic-signature providers, timestamp authorities, and other providers.

Third-party providers may change their APIs, pricing, policies, technical requirements, availability, or functionality.

Such changes may affect corresponding infiSet features.

Your use of a third-party service is also subject to that provider's applicable terms.

27. Availability

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability.

Availability may be affected by maintenance, upgrades, infrastructure failures, internet outages, third-party provider outages, security incidents, capacity limitations, API changes, or circumstances beyond our reasonable control.

Any separately agreed service-level commitment controls where applicable.

28. Beta and Experimental Features

Features identified as beta, preview, experimental, early access, or similar may change, contain errors, have reduced support, or be discontinued.

Such features are provided without a guarantee that they will become generally available unless expressly stated otherwise.

29. Service Changes

We may add, modify, improve, replace, or discontinue features.

We may update underlying infrastructure and third-party integrations when reasonably necessary to operate and improve the Service.

Where applicable law or contract requires notice of a material change, we will provide the required notice.

30. Suspension

We may temporarily restrict access when reasonably necessary to:

  • prevent security harm;
  • investigate suspected abuse;
  • address non-payment;
  • comply with law;
  • protect other users;
  • prevent fraud;
  • address serious violations of these Terms; or
  • protect infrastructure.

Where reasonably practical, we will provide notice and an opportunity to resolve the issue.

Immediate restrictions may be applied when delay creates significant security, legal, or operational risk.

31. Termination

You may stop using the Service and terminate your account subject to applicable subscription terms.

We may terminate or decline renewal where permitted by the applicable agreement and law.

Following termination, Customer Data may enter the applicable deletion and retention lifecycle.

Information required for legal, accounting, security, fraud-prevention, dispute-resolution, or backup purposes may remain for the applicable retention period.

32. Data Export

Where export functionality is provided, you are responsible for exporting information you need before the end of the applicable access period.

Enterprise or separately contracted customers may have additional export rights or assistance.

33. Backups and Disaster Recovery

Production information may be protected through automated encrypted backup workflows.

Backups may be stored separately from active application data in dedicated Cloudflare R2 storage.

A backup is intended for disaster recovery and does not guarantee recovery from every possible event.

Customers should maintain their own appropriate copies of information where necessary for their business.

34. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis.

We do not guarantee that:

  • the Service will always be available;
  • every feature will be error-free;
  • AI output will be accurate;
  • third-party integrations will always operate;
  • calendar information will always be current;
  • emails will always be delivered;
  • payments will always succeed;
  • third-party APIs will remain available; or
  • the Service will satisfy every particular business requirement.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

35. Professional Advice

infiSet is software and does not provide legal, tax, financial, medical, employment, investment, or other regulated professional advice unless expressly stated in a separate written agreement.

You are responsible for obtaining professional advice where appropriate.

36. Limitation of Liability

To the maximum extent permitted by applicable law, infiSet and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, anticipated savings, or data arising from or relating to use of the Service.

To the maximum extent permitted by applicable law, the aggregate liability of infiSet arising from or relating to the Service will not exceed the amount you paid to infiSet for the Service during the twelve months preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded.

37. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless infiSet and its affiliates, officers, employees, contractors, and agents from third-party claims arising from:

  • your unlawful use of the Service;
  • your violation of these Terms;
  • your Customer Data;
  • your infringement of third-party rights; or
  • your misuse of third-party integrations.

This obligation does not apply to the extent a claim results from infiSet's own liability that cannot legally be shifted to you.

38. Governing Law

These Terms are governed by the laws applicable to the legal entity operating infiSet, except to the extent mandatory law applicable to you provides otherwise.

39. Disputes

Before bringing a formal legal proceeding, the parties should first attempt in good faith to resolve a dispute by contacting the other party and providing reasonable details of the issue.

Nothing in these Terms prevents a party from seeking urgent protective or injunctive relief where legally available.

40. Notices

Legal notices concerning these Terms may be sent through the contact information provided on the infiSet website or through the contact information associated with your account.

41. Assignment

You may not assign these Terms in a manner that transfers your obligations without appropriate authorization, except where applicable law permits otherwise.

infiSet may assign these Terms as part of a merger, acquisition, restructuring, financing, or sale of relevant assets.

42. Force Majeure

Neither party is responsible for delay or failure caused by circumstances outside reasonable control, including natural disasters, war, civil unrest, widespread internet or infrastructure outages, major cyber incidents, government actions, labor disruptions, utility failures, or third-party provider failures.

This does not excuse payment obligations that became due before the event.

43. Severability

If a provision of these Terms is found unenforceable, the remaining provisions remain effective and the affected provision will be interpreted as closely as legally permitted to its intended purpose.

44. No Waiver

A failure to enforce a provision does not waive the right to enforce that provision later.

45. Entire Agreement

These Terms, the Privacy Policy, applicable subscription/order terms, and any applicable data-processing or enterprise agreement form the agreement governing use of the Service.

If an executed written agreement expressly conflicts with these Terms, the executed agreement controls for the subject matter it specifically addresses.

46. Changes to these Terms

We may update these Terms as the Service, integrations, business practices, or legal requirements change.

The “Last Updated” date will be updated when changes are published.

Where legally required, we will provide advance notice or obtain consent.
